These Terms of Services (the "Terms") govern your access to and use of the TaxiScrape website, APIs, datasets, managed collection services, reports, and related services (collectively, the "Services") operated by TAG Systems LLC ("TaxiScrape", "we", "us", or "our").

1. Services

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. The effective date of these Terms for you is the date you first access the website, create an account, request data, use an API key, or otherwise use the Services.

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "Customer" refer to both you and that organization.

We may change these Terms from time to time. We may notify you by posting the revised Terms on the website, sending an email, or using another reasonable method. Your continued use of the Services after notice of a change means you accept the revised Terms.

We may modify, suspend, or discontinue all or part of the Services at any time, including to add features, improve reliability, maintain compatibility, manage costs, prevent abuse, or comply with law.

2. Privacy

Please review our Privacy Policy for information about how we collect, use, disclose, and retain information. By using the Services, you consent to our handling of information as described in that policy, as updated from time to time.

3. Accounts and registration

Some Services may require registration, account approval, an API key, or a paid plan. You agree to provide accurate and complete information, keep your account information current, maintain the confidentiality of your credentials, and promptly notify us of any unauthorized access.

You are responsible for all activity under your account, API keys, tokens, passwords, or other credentials, whether or not you authorized the activity. We may reject, suspend, throttle, or terminate accounts or access where we believe information is inaccurate, security is at risk, payment is overdue, or these Terms have been violated.

4. Access to the Services

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during the applicable service period.

Outputs, reports, datasets, API responses, documentation, and other materials made available through the Services are provided for use with the Services and may be subject to additional usage limits, plan restrictions, and data licensing terms communicated to you.

You understand that we use third-party vendors, hosting providers, infrastructure, payment processors, analytics providers, and other service providers to operate the Services. We are not responsible for the acts or omissions of third-party providers except where required by law.

5. Restrictions

Except as expressly allowed by these Terms or by our written permission, you may not:

  • modify, translate, copy, or create derivative works of the Services or documentation;
  • resell, sublicense, lease, rent, lend, distribute, or provide the Services or outputs to third parties;
  • offer the Services, outputs, or reports on a service bureau, timeshare, or white-label basis;
  • share accounts, API keys, or credentials with unauthorized users;
  • use the Services to transmit malware, harmful code, spam, or unlawful content;
  • interfere with, disrupt, overload, probe, scan, or test the vulnerability of the Services;
  • reverse engineer, decompile, disassemble, or attempt to discover source code, architecture, algorithms, or non-public methods of the Services;
  • use the Services to build a competing product or copy features, functions, data structures, designs, or look and feel;
  • remove proprietary notices or attribution; or
  • use the Services in violation of applicable laws, platform rules, third-party rights, or these Terms.

6. Customer content and data

If you upload, submit, transmit, configure, or otherwise provide routes, addresses, locations, account data, instructions, files, code, or other material to the Services ("Customer Content"), you are responsible for that Customer Content and for ensuring that you have all rights and permissions needed to provide it to us.

You represent that Customer Content does not infringe, misappropriate, or violate intellectual property rights, privacy rights, contract rights, platform rules, or applicable law. You also agree not to provide sensitive personal information, payment card data, government identifiers, health information, or other regulated data unless we have expressly agreed in writing to process that category of data.

You grant us a worldwide, royalty-free, non-exclusive license to host, copy, process, transmit, display, and use Customer Content solely as needed to provide, secure, support, and improve the Services, and to create aggregated or de-identified information that does not directly identify you or your Customer Content.

7. Fees and payment

You agree to pay all fees applicable to your plan, order, invoice, statement of work, or other arrangement with us. Unless stated otherwise, fees are payable in advance, are exclusive of taxes, and are non-refundable and non-creditable.

You are responsible for all taxes, duties, levies, and similar charges associated with your use of the Services, other than taxes based on our net income. If a payment is late, we may suspend or terminate access, downgrade your plan, charge late fees where permitted by law, and recover reasonable collection costs.

Unless we agree otherwise, plans renew for successive periods of the same length until cancelled. You must cancel before the renewal date to avoid renewal charges. Downgrades, cancellations, or non-payment may result in loss of access, capacity, features, or Customer Content.

8. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY.

We do not warrant that the Services will meet your requirements, operate without interruption, be secure or error-free, produce complete or accurate results, or that all defects will be corrected. Ride pricing, waiting times, availability, route coverage, and related data may change quickly and may be incomplete, delayed, estimated, or unavailable.

9. Indemnification

You agree to defend, indemnify, and hold harmless TAG Systems LLC, TaxiScrape, and our officers, members, employees, contractors, consultants, agents, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your Customer Content, your use of the Services, your violation of these Terms, your violation of law, or your infringement or misappropriation of third-party rights.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

WE WILL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, LOSS OF DATA, COST OF SUBSTITUTE SERVICES, OR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Ownership and feedback

As between you and us, you retain ownership of your Customer Content. We and our licensors retain all right, title, and interest in and to the Services, website, software, documentation, designs, workflows, reports, aggregated information, trademarks, and all related intellectual property rights.

If you provide suggestions, ideas, comments, or other feedback, you grant us the right to use, disclose, reproduce, license, and exploit that feedback without restriction or obligation to you.

12. Term and termination

These Terms remain in effect while you access or use the Services. We may suspend or terminate access immediately if we believe you violated these Terms, created security or legal risk, failed to pay amounts due, used the Services abusively or excessively, or if suspension is required by law or a third-party provider.

Either party may terminate these Terms if the other party materially breaches and fails to cure the breach within fifteen days after written notice, except that we may terminate immediately for breaches involving intellectual property, confidentiality, security, payment, or unlawful use.

Upon termination, your right to access the Services ends immediately. You remain responsible for amounts due before termination. Sections that by their nature should survive will survive, including ownership, payment obligations, disclaimers, indemnification, limitations of liability, confidentiality, and general provisions.

13. Support

Support is provided through the channels and at the levels applicable to your plan or written agreement. You may contact us at support@taxiscrape.com. We work to respond quickly, but we do not guarantee any response or resolution time unless agreed in writing.

14. Confidential information

Each party may receive non-public technical, business, product, financial, or other information from the other party that is marked confidential or should reasonably be understood as confidential. The receiving party will use confidential information only as permitted by these Terms and will protect it using at least reasonable care.

Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed without use of confidential information, or rightfully received from a third party without restriction. A party may disclose confidential information if required by law, provided it gives reasonable notice where legally permitted.

15. Trademarks

TaxiScrape, TAG Systems LLC, and related names, logos, marks, trade dress, and branding are owned by us or our licensors. You may not use them without our prior written permission. Other trademarks referenced through the Services are the property of their respective owners and do not imply endorsement or affiliation.

16. General provisions

These Terms, together with any policies, order forms, invoices, or written agreements that reference them, are the complete agreement between you and us regarding the Services and supersede prior or contemporaneous communications on that subject.

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming for disputes arising out of or related to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law. Failure to enforce a provision is not a waiver. If any provision is held invalid, the remaining provisions remain in effect.
